PLATFORM TERMS

This End-User License Agreement (this "Agreement") is a binding agreement between Pool Pros Plus, LLC ("Pool Pros," "we," "us") and the individual who accesses or uses the Pool Pros operations platform made available at os.pool-pros.com and its related subdomains (the "Platform").

1. The Platform

The Platform is a private, internal business application used by Pool Pros to run its own operations, including field service coordination, hiring and onboarding, training, and internal financial reporting. It is not a commercial product, is not sold or licensed to the public, and is not offered as a service to other businesses.

2. License grant

Subject to your compliance with this Agreement, Pool Pros grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for the purpose of performing work for or on behalf of Pool Pros, and only through the account issued to you.

3. Eligible users

Access is limited to Pool Pros owners, employees, and contractors who have been issued an account and assigned appropriate permissions. Accounts are personal to the individual. You may not share your credentials, allow another person to use your account, or use an account issued to someone else.

4. Acceptable use

You agree that you will not:

1. Access data within the Platform that you are not authorized to access, or attempt to circumvent any permission, authentication, or access control;
2. Export, copy, publish, or disclose Pool Pros business data, including customer information, vendor information, financial data, and employee information, except as required to perform your work and as permitted by Pool Pros policy;
3. Use the Platform for any unlawful purpose, or in violation of any applicable law or regulation;
4. Interfere with, disrupt, overload, probe, or attempt to gain unauthorized access to the Platform or any system or network connected to it;
5. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform, except to the extent that restriction is prohibited by law;
6. Copy, modify, distribute, sell, lease, or create derivative works from the Platform or any part of it;
7. Introduce any virus, malware, or other harmful code into the Platform; or
8. Use any automated system, scraper, or bot to access the Platform other than integrations Pool Pros has expressly authorized.

5. Third-party services

The Platform connects to third-party services, including QuickBooks Online, under credentials and authorizations granted by Pool Pros. Your use of data obtained through those services is subject to this Agreement and to the terms of the relevant provider. Pool Pros is not responsible for the availability, accuracy, or performance of any third-party service.

Data retrieved from QuickBooks Online is handled as described in our platform privacy notice.

6. Confidentiality

The Platform and its contents, including customer records, financial data, pricing, operating procedures, and any non-public business information, are the confidential information of Pool Pros. You will keep that information confidential, use it only to perform work for Pool Pros, and will not disclose it to any third party without written authorization. This obligation survives the termination of your access and of this Agreement.

7. Ownership

The Platform, including all software, interfaces, content, and documentation, and all intellectual property rights in it, is and remains the exclusive property of Pool Pros and its licensors. No rights are granted to you other than the limited license expressly stated in Section 2.

8. Data and privacy

Your use of the Platform is subject to our platform privacy notice, which is incorporated into this Agreement by reference. You acknowledge that Pool Pros may monitor and log activity on the Platform for security, compliance, and operational purposes.

9. Suspension and termination

Pool Pros may suspend or terminate your access to the Platform at any time, with or without notice, including on the end of your employment or engagement, or on any breach of this Agreement. On termination, the license in Section 2 ends immediately and you must cease all use of the Platform. Sections 6, 7, 10, 11, and 13 survive termination.

10. Disclaimer of warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. POOL PROS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA DISPLAYED, INCLUDING FINANCIAL DATA SOURCED FROM THIRD-PARTY SYSTEMS, WILL BE ACCURATE OR COMPLETE. FINANCIAL FIGURES SHOWN IN THE PLATFORM ARE FOR INTERNAL OPERATIONAL REFERENCE AND ARE NOT A SUBSTITUTE FOR THE BOOKS OF RECORD.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POOL PROS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, AND WHETHER OR NOT POOL PROS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Changes to this Agreement

Pool Pros may modify this Agreement at any time. The revised Agreement takes effect when posted at this address, and your continued use of the Platform after that time constitutes acceptance. If you do not accept a change, you must stop using the Platform.

13. Governing law

This Agreement is governed by the laws of the State of Oklahoma, without regard to its conflict of laws principles. The exclusive venue for any dispute arising under this Agreement is the state and federal courts located in Comanche County, Oklahoma.

14. Entire agreement; severability

This Agreement, together with the platform privacy notice, is the entire agreement between you and Pool Pros regarding the Platform, and supersedes any prior understanding on that subject. It does not replace or limit any employment agreement, contractor agreement, or confidentiality agreement between you and Pool Pros. If any provision is held unenforceable, the remaining provisions remain in full force.
